The Code of Conduct contains the policies that relate to the legal and ethical standards of conduct that the directors, executive officers and employees of OCI are expected to comply with while carrying out their duties and responsibilities on behalf of the Company. These policies are intended to focus all employees on areas of ethical risk, provide guidance to personnel to help them recognize and deal with ethical issues, provide mechanisms to report unethical conduct, and help to foster a culture of honesty and accountability.
No code or policy can anticipate every situation that may arise. OCI expects each director, executive officer and employee to act with honesty and integrity, to exercise independent professional judgment and to deter wrongdoing in the conduct of all duties and responsibilities on behalf of the Company.
The Whistleblower Policy applies to all employees, officers and directors of OCI N.V. Internal reporting of suspected criminal or unethical conduct by or within the Company is vital for maintaining our success. If received, all reports are treated with the utmost confidentiality and are promptly investigated without the risk of recourse for the reporting employee so long as their report is made in good faith.
The Insider Trading Policy applies to all employees, officers and directors of OCI N.V. and prohibits every employee from using insider information to a transaction in OCI securities, or executing a transaction in OCI securities if that transaction may reasonably appear to have been executed while the employee was in possession or had access to insider information.
