OCI N.V. Announces Nomination Ms. Heike van de Kerkhof to its Board of Directors

OCI N.V. (Euronext: OCI) today announced that its Board of Directors will nominate Ms. Heike van de Kerkhof for appointment as non-executive member of the Board of Directors to an extraordinary general meeting of shareholders (EGM) to be held on 20 October 2020. The EGM documents (invitation, agenda and proxy) will be available on OCI’s website today.

Pending approval at the upcoming EGM, OCI N.V.’s Board of Directors will have 13 members of a diverse background. The Board will comprise of Executive Chair Nassef Sawiris, (non-executive) Co-Chair & Senior Independent Director Michael Bennett, Executive Directors Ahmed El-Hoshy, Hassan Badrawi and Maud de Vries, Non-Executive director Jérôme Guiraud, and Independent Non-Executive Directors Dod Fraser, Gregory Heckman, Heike van de Kerkhof, Robert Jan van de Kraats, Anja Montijn, Sipko Schat and David Welch.

Biography

Ms. van de Kerkhof (1962) is a German national with more than 30 years experience in the chemicals and materials industries. In her leadership positions she has built up a reputation as a strong advocate of sustainability and a promoter of a culture of performance, diversity and inclusion. She is currently Chief Executive Officer and member of the Board of Directors at Archroma, a global, diversified producer of specialty chemicals with 3,000 employees across 35 countries and 26 production sites. Ms. van de Kerkhof is also a strategic advisor on ESG for all portfolio companies of SK Capital, a private investment firm and owner of Archroma. Prior to Archroma, she held leadership positions across various functions at Dupont from 1989 to 2015, at Chemours, a company created from the DuPont Performance Chemicals businesses, from 2015 – 2017, and was Vice President BP Lubricants for the Western Hemisphere from 2018 – 2019. She was previously a non-exective director at RPC Group PLC (from 2015 to 2016) and Neste Oyj (2017). Ms. van de Kerkhof received an MBA from the European University in Geneva, Switzerland, and a bachelor’s degree in Mechanical and Textile Engineering from University Mönchengladbach, Germany.
